1. Agreement to Terms

By accessing or using Boosted Circle (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and Boosted Circle LLC ("we," "us," or "our") governing your use of the Service.

2. Description of Service

Boosted Circle provides Done-for-you AI mentorship product creation service that allows users to interact with artificial intelligence models through a chat interface. The Service includes features such as:

  • AI-powered conversational responses
  • Document creation and editing capabilities
  • File upload and analysis (for eligible users)
  • Chat history management
  • Subscription-based access tiers

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without prior notice.

3. Account Registration and Security

To access certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized access or security breach

You may not share your account credentials with others or allow others to access your account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscription and Billing

The Service offers both free and paid subscription tiers. By subscribing to a paid plan, you agree to pay all applicable fees.

4.1 Payment Terms

  • Subscription fees are billed in advance on a monthly or annual basis
  • All fees are in U.S. Dollars unless otherwise stated
  • Payment is processed through our third-party payment processor (Stripe)
  • You authorize us to charge your payment method for all fees incurred

4.2 Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current subscription fee.

4.3 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period. You will retain access to paid features until the end of the billing period.

4.4 Refunds

Refunds are granted at the sole discretion of Boosted Circle. To request a refund, contact support@boostedcircle.com within 30 days of your payment. We do not guarantee refunds for any reason.

4.5 Price Changes

We reserve the right to change subscription fees at any time. We will provide at least 30 days' notice of any price changes. Continued use of the Service after a price change constitutes acceptance of the new fees.

5. Acceptable Use Policy

You agree not to use the Service for any unlawful purpose or in any way that violates these Terms. Prohibited activities include:

  • Violating any applicable laws or regulations
  • Infringing on intellectual property rights of others
  • Transmitting harmful, threatening, abusive, or harassing content
  • Attempting to gain unauthorized access to the Service or related systems
  • Interfering with or disrupting the Service or servers
  • Using the Service to distribute spam, malware, or viruses
  • Impersonating any person or entity
  • Collecting or harvesting information about other users
  • Using automated systems (bots, scrapers) without authorization
  • Attempting to reverse engineer or decompile the Service

Violation of this Acceptable Use Policy may result in immediate termination of your account without refund.

6. Intellectual Property and Content Ownership

6.1 Service Ownership

The Service, including all software, designs, text, graphics, and other content, is owned by Boosted Circle LLC and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

6.2 User Content

You retain ownership of all content you input into the Service ("User Content") and all AI-generated outputs based on your inputs. By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to:

  • Store and process your User Content to provide the Service
  • Use your User Content for service improvement and quality assurance
  • Analyze usage patterns and develop new features
  • Create aggregated, anonymized data for research and development

We will not sell your User Content to third parties or use it for purposes unrelated to operating and improving the Service.

6.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without any obligation to compensate you.

7. AI-Generated Content Disclaimer

The Service uses artificial intelligence models to generate responses. You acknowledge and agree that:

  • AI-generated content may contain errors, inaccuracies, or outdated information
  • AI responses should not be considered professional advice (legal, medical, financial, etc.)
  • You are responsible for verifying the accuracy of AI-generated content
  • We do not guarantee the quality, accuracy, or reliability of AI outputs
  • AI models may produce biased, offensive, or inappropriate content despite our efforts to prevent this

You use AI-generated content at your own risk. We are not liable for any decisions made based on AI outputs.

8. Privacy and Data Protection

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to our data practices as described in the Privacy Policy.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOOSTED CIRCLE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability to you for all claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected. You use the Service at your own risk.

11. Indemnification

You agree to indemnify, defend, and hold harmless Boosted Circle LLC, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your User Content

12. Termination

We reserve the right to suspend or terminate your account and access to the Service at any time, with or without cause, with or without notice. Reasons for termination may include:

  • Violation of these Terms
  • Fraudulent, abusive, or illegal activity
  • Extended periods of inactivity
  • Requests by law enforcement or government agencies

Upon termination, your right to use the Service will immediately cease. We may delete your account and User Content. Termination does not relieve you of any obligations incurred prior to termination.

You may terminate your account at any time by contacting support@boostedcircle.com or through your account settings.

13. Dispute Resolution and Arbitration

13.1 Informal Resolution

Before filing a claim, you agree to contact us at legal@boostedcircle.com to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 60 days.

13.2 Binding Arbitration

If we cannot resolve the dispute informally, any dispute arising from or relating to these Terms or the Service shall be resolved through binding arbitration administered by JAMS (Judicial Arbitration and Mediation Services) in accordance with its Comprehensive Arbitration Rules and Procedures.

The arbitration will be conducted in Florida, or at another mutually agreed location. Each party will bear its own costs and attorneys' fees, unless the arbitrator awards costs and fees to the prevailing party.

13.3 Class Action Waiver

You agree that disputes will be resolved on an individual basis only. You waive any right to participate in a class action lawsuit or class-wide arbitration.

13.4 Exceptions

Either party may seek injunctive relief in court to protect intellectual property rights or confidential information.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

  • Posting the updated Terms on this page
  • Updating the "Last Updated" date at the top of this page
  • Sending an email notification to your registered email address (for significant changes)

Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and cancel your account.

16. Miscellaneous

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Boosted Circle LLC regarding the Service.

16.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

16.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

16.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control.
